Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and Warmly Labs LLC ("Warmly," "we," "our," or "us"), the operator of Warmly.cards ("the Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

Description of Service

Warmly.cards is a digital card creation and delivery service that allows users to create personalized digital cards with messages and photos, and send them to recipients via email, link sharing, or SMS (text message). A free Basic tier is available, and a paid "Warmly Plus" subscription unlocks additional features.

Payments and Subscriptions

Payments for Warmly Plus are processed securely by Stripe, Inc. ("Stripe"), our payment processor. By purchasing Warmly Plus, you also agree to Stripe's Consumer Terms, which govern payment authorization and processing.

Warmly Plus is offered as an auto-renewing subscription, billed either monthly or annually at the price displayed at checkout. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period.

Refunds are handled in accordance with our Refund Policy. Fees are stated inclusive or exclusive of tax as shown at checkout, and applicable sales tax or VAT (where required) is collected at the time of purchase.

Account Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate and complete information during registration
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

Acceptable Use

You agree not to use the Service to:

Send unsolicited, spam, or non-consensual messages
Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
Impersonate any person or entity
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Use the Service for any commercial or promotional purposes without permission
Provide phone numbers of recipients who have not consented to receive messages from you

SMS Messaging Terms

Warmly.cards allows users to send digital greeting cards via SMS (text message). By using this feature, you agree that:

You will only send messages to individuals who have given you permission to contact them
You are responsible for ensuring that recipients have consented to receive messages from you
Messages sent via SMS are one-time, transactional notifications related to a specific card
You will not use the Service to send unsolicited, bulk, or promotional messages

Recipients may opt out of receiving messages by replying STOP, and may reply HELP for additional support. Message and data rates may apply.

User Content

You retain ownership of the content you create and upload to the Service, including messages, photos, and other materials ("User Content"). By using the Service, you grant us a limited license to:

Store and process your User Content to provide the Service
Display your User Content to your designated recipients
Create backups of your User Content for service reliability

You are solely responsible for your User Content and represent that you have all necessary rights to upload and share it.

Intellectual Property

The Service, including its design, features, and functionality, is owned by Warmly.cards and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express permission.

Beta Service

The Service is currently in beta. This means features may change, and the Service may experience interruptions or errors. We appreciate your patience and feedback as we continue to improve. Beta features are provided "as is" without warranties of any kind.

Limitation of Liability

To the maximum extent permitted by law, Warmly.cards shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from your use of or inability to use the Service.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
